When buying an operating short-term rental, the booking calendar can change between offer acceptance and closing. A seller or manager may keep accepting stays that begin after you own the property, changing the revenue, guest obligations, launch date, and even your ability to renovate. Decide before signing whether new post-closing reservations are prohibited, require your written approval, or are allowed within specific price, date, and disclosure limits. Then assign the manager and platform the same instructions and require an updated ledger. This is not the question of what to do with bookings already sold; it is how to stop the acquisition you underwrote from changing during escrow. Book a call to structure an STR offer with a controlled booking calendar.
Choose the booking rule in the purchase offer
Ask the seller for a dated, reservation-level snapshot before writing terms: stay dates, platform or direct channel, rental rate, fees and taxes, payments received, refund rules, manager, and who holds each amount. Mark stays that cross or follow the proposed closing date. The existing-reservations guide handles that opening ledger. This page controls the new agreements created after the purchase contract, which can make the ledger grow while the buyer is still checking title, STR permission, financing, and seller revenue.
The Florida Realtors explanation of its seasonal-vacation-rental rider illustrates the choice: the parties specify whether the seller may enter new agreements after the effective date and, if so, whether the buyer must approve terms in writing; copies of new agreements must be delivered. That form is Florida-specific, not a national default. NC REALTORS® likewise describes an addendum option for a written seller promise not to enter new leases after the contract becomes effective. In either location, local counsel should identify the current appropriate form or draft a lawful provision. A listing agent's verbal assurance is not your calendar-control clause.
| Possible contract approach | Buyer benefit | Key tradeoff to negotiate |
|---|---|---|
| No new stays extending beyond closing | Known guest obligations and a clean launch calendar | Seller may seek compensation for blocked dates if closing slips |
| New stays only with prior written buyer approval | Buyer can accept attractive stays after checking law, platform and economics | Who responds, how quickly, and what happens without a reply must be clear |
| Seller may book within written date/rate boundaries | Potential near-term revenue continuity | Buyer may inherit more guest duties and low-margin or hard-to-transfer bookings |

Check the channel before promising future occupancy
For Vrbo bookings, Expedia Group's current Property Sale and Host Transition Policy tells the current host to accept new reservations only when the stay ends before the expected sale or manager-transfer date and to block later dates. It also says the new host needs a new listing for honored existing reservations, and the hosts must work with Vrbo Support on transfer. That platform instruction can be stricter than a purchase agreement that merely permits the seller to take bookings. Do not plan new post-closing Vrbo stays on the seller account in conflict with the platform's policy. The Vrbo handoff guide covers the separate transition of existing guests.
For Airbnb, direct bookings, and manager-controlled channels, get each current written policy or agreement and ask the operator what happens when ownership changes. Do not extrapolate Vrbo's rule to another platform or assume the seller's account, reviews, guest messages, and payouts transfer with the deed. Have a licensed agent and attorney make the seller's booking promise consistent with channel rules, local guest-contract law, insurance, and the buyer's STR authorization after closing. If the buyer cannot lawfully host on day one, a newly booked first-week stay may be a liability rather than revenue.
If a property manager can automatically accept reservations, a contract provision alone may not stop the software. Identify who has authority to close the calendar, change channel settings, and monitor direct inquiries. Require confirmation that the manager received the signed rule and a dated export showing the block or approval workflow. The management-contract assignment guide helps test who controls the account; do not ask the buyer to use seller credentials or collect private guest data outside a lawful, secure transfer process.
Reconcile every authorized new booking before closing
If the buyer permits new stays, require a fresh ledger at agreed intervals and again shortly before closing. For each newly accepted reservation, compare the approved terms with the actual agreement: dates, nightly rate, cleaning fee, taxes, payment schedule, refund rights, guest obligations, and who will receive each platform payout. Separate stays completed before closing from stays the buyer may need to perform. The closing attorney should document any appropriate proration, credit, holdback, or post-closing remittance under the contract and applicable law; do not treat gross guest charges as buyer cash already available.
Illustrative only: the buyer approves two new post-closing stays for a combined $4,000 guest charge. The seller's account has collected $2,500, the channel holds the balance, and $600 of cleaning and manager cost will be paid after closing. The acquisition model cannot simply add $4,000 to first-month cash. It needs a documented route for the $2,500 already collected, the remaining payout, guest taxes and fees, and the $600 service obligation. These invented amounts are a worksheet example, not typical performance or a claim about any platform's payout timing.
Require a change log after the first snapshot. If the seller accepts a stay outside the agreed rule, have local counsel explain notice, cure, termination, and price-adjustment options before the diligence deadline passes. Do not assume a buyer can cancel a guest without cost or that a seller can reimburse every loss. Record any booking created, modified, or cancelled during escrow and reconcile the final export to the settlement statement and manager ledger.
Decide whether the altered deal still works
Proceed when the calendar rule is written, implemented across every channel, the new-booking ledger is complete, guest duties and funds are allocated, and the conservative STR case still meets your offer ceiling. Renegotiate a price or closing credit when unauthorized or low-rate stays reduce the economics or delay launch. Delay closing under a valid contractual right when the manager, platform, or settlement team can still reconcile missing agreements before protections expire. Reject a purchase that requires the buyer to honor unverified or unlawful post-closing stays while the seller keeps control of the guest relationship and cash.
Have local real-estate counsel review the exact booking provision and guest obligations, and use qualified tax, insurance, lending, and privacy professionals where needed. Frequently asked questions
Can the seller accept new Airbnb or Vrbo bookings after our STR purchase contract is signed?
The signed purchase terms, local law, manager authority, and platform policies govern. Decide in writing whether post-closing stays are prohibited, need buyer approval, or are allowed under defined limits; do not rely on a verbal promise.
Should I freeze all post-closing dates while buying an operating STR?
A freeze creates a clearer handoff but can reduce potential revenue if closing is delayed. Compare it with a written buyer-approval rule and ask counsel and the channel operator which approach is workable for this property.
What does Vrbo say about new stays after a property is listed for sale?
Vrbo's current property-sale policy tells the current host to accept new reservations only when the stay ends before the expected sale date and to block later dates. Verify the policy again for the specific transition.
How do I price newly accepted bookings before closing?
Use an updated reservation-level ledger showing guest charges, amounts collected, remaining payouts, taxes, refunds, and service costs, then have the closing team document the contractual allocation.
Questions to resolve before committing to this purchase
How do I review seller booking authority during STR escrow?
Have counsel define permitted new reservations and obligations in the contract. The buyer should understand the commitments being made before ownership changes.
How do I identify STR reservations overlapping settlement?
Obtain an authorized schedule without unnecessary guest identities. Flag stays that cross possession or buyer permission dates and assign responsibility for their resolution.
How do I verify STR booking deposits in a purchase agreement?
Ask the closing team how prepaid amounts, refunds and associated obligations are allocated. A calendar reservation is not evidence of cash the buyer will receive.
How do I condition STR reservation assumptions on buyer permission?
Confirm lawful operation and platform arrangements separately. Do not count seller bookings in the buyer forecast while use, listing or payout continuity is unresolved.
How do I price seller booking commitments into an STR offer?
Identify promised stays, cancellation exposure and operational obligations with counsel. Accept an income premium only for evidence and arrangements the purchaser can actually rely on.
Record the evidence, responsible reviewer, cash effect and transaction deadline for any unresolved item. Bring those findings to the STR acquisition call before deciding whether to proceed, revise the offer or exercise available contract protection.
